Confidential information is information that is not publicly known and that (i) is made available or disclosed in writing from a party to a receiving party and (ii) is designated in writing as confidential by the party to the announcement. Autodesk Confidential Information also includes non-public aspects of an Offering and all related product plans, technologies and other technical information, as well as (ii) business negotiations. However, confidential information does not include (a) information that is known to the public without any obligation owed to the party to the announcement being breached; (2) the receiving party was known before it was received by the disclosed party, without any obligation owed to the public party (and without any obligation of confidentiality) having been breached; (3) is received by a third party without breach of any of the obligations due to the public party (and without obligation of confidentiality); or (4) has been developed independently of the receiving party; (b) content that you send to third parties through an offer or that you can access; or (c) any feedback. Depending on the location of your registered office (or, if you are a natural person where you reside), these terms apply between you and the Autodesk party listed below. The law applicable to these Terms, including all rights, obligations and claims of the parties, is set forth below. Likewise, all disputes, claims or controversies, which arise from or are related to these conditions, including the breach, execution, termination, performance, interpretation or validity of these conditions (and whether on the basis of the contract, an unlawful act, including and non-imputable liability, competition law or others) and in particular the determination of the extent or applicability of the dispute settlement rules of these conditions, definitively defined in accordance with the law, on the spot and by the dispute resolution procedure indicated below (except in the section „National conditions / jurisdiction“ (section 23).
